1. Introduction

Welcome to AinTools ("Website," "we," "us," or "our"), a OPTI5 AI - FZCO company. These Terms of Use ("Terms") govern your access to and use of the Website, including any content, functionality, and services offered on or through the Website, particularly our AI-powered report automation tools. By accessing or using the Website, you ("User" or "you") signify your agreement to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Website.

2. Account Registration and Access

a. Account Creation

To access certain features and services of the Website, including the AI tools, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

b. Account Security

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

c. Account Termination

We reserve the right to terminate your account at any time for any reason, including but not limited to your breach of these Terms.

3. Services and Licensing Fees

a. Services

AinTools provides enterprise AI software, platform capabilities, professional services, and bespoke AI solutions. The scope of services provided will be defined in the applicable Statement of Work (SOW), Proposal, Master Services Agreement (MSA), Order Form, or other written agreement between AinTools and the Customer.

b. Licensing Fees

Fees for software licences, platform access, implementation services, support, and any additional services are agreed separately in the applicable commercial agreement. Unless otherwise stated in writing, all fees are payable in accordance with the agreed payment terms.

c. Invoicing and Payment

The Customer agrees to pay all applicable fees set out in the relevant commercial agreement. Unless otherwise agreed in writing, invoices must be paid within the payment period specified on the invoice. Late payments may result in the suspension of access to the Services until outstanding amounts have been settled.

d. Term, Renewal and Termination

The duration of any licence, service engagement, or support arrangement will be specified in the applicable commercial agreement. Any renewal, extension, or termination shall be governed by the terms of that agreement. Unless expressly agreed in writing, services do not renew automatically.

e. Changes to Services

AinTools may update, enhance, or modify its Services from time to time in order to improve functionality, security, performance, or regulatory compliance. Where a change materially impacts the Services provided under an active commercial agreement, AinTools will provide reasonable notice where practicable.

4. Use of AI Tools

a. License

We grant you a non-exclusive, non-transferable, limited license to use the AI tools for your internal business purposes only.

b. Restrictions

You may not:

• Resell or redistribute the AI tools or any output generated by the AI tools.
• Use the AI tools to generate content that is illegal, harmful, defamatory, or infringes the intellectual property rights of others.
• Use the AI tools in a manner that violates any applicable laws or regulations.

c. Output Ownership

You own the output generated by the AI tools, subject to our intellectual property rights in the underlying technology.

5. Intellectual Property

a. Website Content

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by AinTools, its licensors, or other providers of such material and are protected by United Arab Emirates and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

b. User Content

You retain ownership of any content you submit to the Website. However, by submitting content, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with the operation of the Website and our business.

6. Disclaimer

a. AI Tool Accuracy

The AI tools are provided "as is" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AinTools does not warrant that the AI tools will be uninterrupted or error-free, that defects will be corrected, or that the AI tools will produce accurate or complete results.

b. Website Availability

AinTools does not warrant that the Website will be uninterrupted or error-free, that defects will be corrected, or that the Website or the server that makes it available are free of viruses or other harmful components.

7. Limitation of Liability

In no event will AinTools, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Website, any websites linked to it, any content on the Website or such other websites, or any services or items obtained through the Website or such other websites, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.

You agree to defend, indemnify, and hold harmless AinTools, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms or your use of the Website, including, but not limited to, your user contributions, any use of the Website's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Website.

9. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to these Terms or the Website shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of laws principles. You agree that any legal suit, action, or proceeding arising out of or relating to these Terms or the Website shall be instituted exclusively in the courts of the United Arab Emirates.

10. Entire Agreement

These Terms constitute the entire agreement between you and AinTools with respect to the Website and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and AinTools with respect to the Website.

11. Waiver and Severability

No waiver of by AinTools of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of AinTools to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

12. Changes to the Terms

AinTools reserves the right to modify these Terms at any time in its sole discretion. If we make material changes to these Terms, we will post the updated Terms on the Website and update the "Last Updated" date at the top of this page. Your continued use of the Website following the posting of revised Terms means that you accept and agree to the changes.
